「重機でGo」利用規約

この利用規約（以下「本規約」といいます。）は、トライアロー株式会社（以下「当社」といいます。）が運営する「重機でGo」モバイルアプリケーション（以下「本サービス」といいます。）の利用について以下のとおり定めるものです。

本サービスの利用の前に、以下の本規約をお読みください。

本サービスへのアクセス及び利用は、利用者が本規約を承諾し遵守することを条件とします。本規約は、本サービスにアクセスする又は本サービスを利用するユーザー等のすべて（以下総称して「利用者」といいます。）に適用されます。

本サービスへのアクセス又は利用により、利用者は、本規約に拘束されることに同意したものとみなされます。利用者は、本規約のいずれかの部分に同意しない場合、本サービスにアクセス又は利用することはできません。

未成年者は、親権者その他の法定代理人からの同意がある場合にのみ本サービスを利用することができます。

サービスの提供

  1. 利用者は、本サービスにアクセス又は利用するための携帯電話機器及び通信装置等の機器、並びにインターネット接続を、自己の責任と費用負担にて準備してください。
  2. 当社はその裁量にて、利用者に対して事前に通知することなくいつでも本サービスの全部又は一部を変更する権利を有します。

 

コンテンツ

  1. 利用者には、本サービスを個人利用・私的使用することのみを目的として、当社が提供するコンテンツ（以下「本コンテンツ」といいます。）を利用するための、譲渡不可で、サブライセンス不可の非独占的権利が、当社から付与されます。なお、それ以外の目的（マーケティング、営業、宣伝、広告、集客、勧誘、その他の商業、営利目的を含みますが、これに限られません）で本サービスを利用することをご希望の場合には、当社にお問い合わせください。有料又は条件付きで本サービスの利用を承諾する場合がございます。また、当社が利用者に対し、本サービスを事業のため又は事業目的で使用することを承諾した場合、当該事業主体も本規約に同意したものとみなされます。当該同意は、有効であり撤回不可能とします。
  2. 「購入」等の文言が画面上に表示されているか否かにかかわらず、利用者に提供される本コンテンツに関する一切の知的財産権及びその他すべての権利は、当社に帰属するものとし、利用者には移転しません。
  3. 利用者は、本サービスにおける本コンテンツの用途の範囲を超えて本コンテンツを利用すること（複写、転送、複製、及び修正を含みますが、これらに限られません。）はできません。

 

禁止事項

利用者は、本サービスにアクセスする又は本サービスを利用する際に、以下のいずれかに該当する行為又は、該当する可能性のある行為を禁止されます。

  1. 当社の事前の承諾なく、個人利用・私的使用以外の目的（マーケティング、営業、宣伝、広告、集客、勧誘、その他の商業、営利目的を含みますが、これに限られません）で本サービスを利用すること。
  2. 犯罪行為、その扇動又はその支援。
  3. 法令、条例、又は裁判所命令に違反する行為。
  4. 公序良俗に反する行為、又はその扇動若しくは支援。
  5. 当社の著作権、商標権、特許権等の知的財産権及びその他一切の権利を侵害する行為。
  6. 当社に関する事実誤認を引き起こす行為、及び当社に関する虚偽の情報を意図的に流布する行為。
  7. 当社による本サービスの運営や提供、又は他のユーザーによる本サービスの利用を妨げる行為。
  8. 当社が不適切とみなすその他の行為。

 

利用可能性、エラー、及び不正確性

当社は、本サービス上の商品及びサービスの提供を常に更新しています。本サービスにおいて利用可能な商品及びサービスについて、価格に誤りがあったり、記載が不正確であったり、利用不可である場合があり、また、本サービスに関する情報及び他のウェブサイト上の当社の広告の情報の更新に遅れがある場合があります。

当社は、価格、製品イメージ、仕様、利用可能性、及びサービス等の情報の正確性及び完全性について保証することはできず、また保証もしません。当社は、事前に通知することなく、いつでも、情報を変更若しくは更新し、誤り、不正確、若しくは脱漏を修正する権利を有します。

コンテスト、懸賞、プロモーション

本サービスを通じて利用可能なコンテスト、懸賞又はその他のプロモーション（以下総称して「プロモーション等」といいます。）は、本規約とは別の規則により規定されます。利用者がプロモーション等に参加される場合は、適用ある規則及び当社のプライバシーポリシーをご確認ください。プロモーション等に関する規則が本規約と相反する場合、プロモーション等の規則が適用されます。

他のウェブサイトへのリンク

当社の本サービスには、当社が所有又は管理しない第三者のウェブサイトやサービスへのリンクが含まれる場合があります。

当社は、第三者のウェブサイトやサービスのコンテンツ、プライバシー方針、活動について一切管理せず、責任を負いません。利用者は、当該ウェブサイトやサービスにおいて又はそれを介して提供されるコンテンツ、商品、又はサービスの利用又は依拠に起因又は関連するあらゆる損害若しくは損失、又は損害若しくは損失の申し立てについて、当社が直接にも間接にも何ら責任を負わないことを了解しこれに同意するものとします。

当社は、利用者が訪問する第三者のウェブサイトやサービスの利用規約及びプライバシー方針をお読みになることを強くお勧めします。

終了

当社は、利用者が本規約に違反した場合その他のいかなる理由においても、事前に通知することなく、直ちに利用者のアクセスを終了又は中断することができます。

本サービスが終了した場合、利用者が本サービスを利用する権利は直ちに消滅します。

責任制限

いかなる場合においても、当社、並びに、その取締役、従業員、パートナー、代理店、サプライヤー子会社及び関連会社（以下「当社関連者」といいます。）のいずれの者も、当社の契約上の不履行又は当社若しくは当社関連者の過失（重過失を除きます。）による不法行為に関連する間接的、付随的、特別的、派生的、又は懲罰的損害（逸失利益、データ損失、使用不能損失、暖簾の損失、その他無形の損失を含みますが、これらに限られません。）について何ら責任を負いません。また、いかなる場合においても、当社の契約上の不履行又は当社若しくは当社関連者の過失（重過失を除きます。）による不法行為に起因する通常損害に関する利用者に対する当社及び当社関連者の責任額の合計は、利用者が本サービスについて当社に対して支払った料金の合計額を超えないものとします。

免責

利用者は、自己の単独の責任にて本サービスを利用します。本サービスは、「現状有姿」かつ「提供されているままの状態」にて提供されます。本サービスは、明示的か黙示的かにかかわらず、あらゆる類の保証（商品適格性、特定目的に対する適合性、非侵害又は履行の過程を含みますが、これらに限られません。）なく提供されます。

当社、その子会社、関連会社、及びライセンサーは、（a）本サービスが、いかなる時間・場所においても中断なく機能し、安全で、利用可能であること、（b）エラーや瑕疵が是正されること、（c）本サービスにはウィルス等の有害な要素を含まないこと、（d）本サービスの利用結果が利用者の要件を満たすことのいずれも保証しません。当社はまた、本サービスへのアクセス又は本サービスの利用の際に利用者が作成したデータがいかなる状況においても喪失されないことを保証しません。

準拠法及び管轄裁判所

本規約は、抵触法の原則を考慮することなく、日本法に準拠し、同法に従って解釈されます。利用者は、本規約及び/又は利用者による本サービスの利用若しくはアクセスに起因又は関連して紛争が発生した場合、当該紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

当社が本規約の権利又は規定を執行しなかった場合でも、それら権利等の放棄とはみなされません。本規約のいずれかの規定が裁判所により無効又は執行不能とされた場合でも、本規約の残余の規定は引き続き有効に存続します。本規約は、当社の本サービスに関する当社と利用者との間の完全な合意を構成し、本サービスに関して当社と利用者との間の従前の合意がある場合これに優先し取って代わります。

変更

当社は、当社の単独の裁量にていつでも本規約を修正又は差し替える権利を有します。重大な変更を行う場合、当社は、新しい規定が有効となる30日以上前に通知を提供します。重大な変更となるか否かは、当社の単独の裁量により判断されるものとします。

これらの変更の効力発生後に当社の本サービスのアクセス又は利用を継続することにより、利用者は、変更後の規定に拘束されることに同意したことになります。新しい規定に同意しない場合、本サービスへのアクセス又は利用を中止してください。

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with Juki De Go mobile application (the "Service") operated by TRI-ARROW CO., LTD. ("us", "we", or "our").

Please read these Terms and Conditions carefully before using our Juki De Go mobile application.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users and others (“you”) who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access or use the Service.

Minors may use the Service only with consent from the person who has parental authority or legal guardian.

Provision of the Service

  1. You shall supply the equipment such as mobile phone device and communication device, and internet connections in order to access to or use of the Service at your own responsibility and expense.
  2. We reserve the right to modify at our own discretion, the whole or part of the Service at any time without any prior notice to you.

 

Contents

  1. You are granted by us a non-transferable, non-sublicensable, non-exclusive right to use the contents provided by us (the “Contents”), only for the purpose of personal and private use of the Service. Please contact us if you wish to use the Service for other purposes, including but not limited to: marketing, business activities, promotion, advertising, customer attractions, soliciting and other profit or commercial purposes. We may consent you to use the Service by charge or with conditions. Further, if we accept you to use the Service on behalf of, or for the purpose of a business enterprise, that the business enterprise shall also be deemed to have agreed to the Terms and Conditions. Such agreement is valid and irrevocable.
  2. Notwithstanding the circumstances whether the phrases "Purchase" and the like appear on the screen or not, all intellectual property rights as well as all other rights in the Contents offered to you shall belong to us, and such rights shall not be transferred to you.
  3. You are not entitled to use the Contents beyond the scope of the intended use of the Contents in the Service (including but not limited to copying, transmission, reproduction and modification).

 

Prohibitions

You are prohibited from conducting any act which falls under or may fall under any of the following when you access to or use the Service.

  1. Use of the Service without our prior consent for any purpose (which includes but not limited to: marketing, business activities, promotion advertising, customer attractions, soliciting and other profit or commercial purposes) other than the purpose of the personal and private use of the Service.
  2. Any act which relates to crimes or instigation thereof or assistance therein.
  3. Any act which conflicts laws, regulations, ordinances, or court orders.
  4. Any act against public order, morals, or instigation thereof or assistance therein.
  5. Any act which infringes intellectual property rights, such as copyrights, trademark rights, patent rights, and all other rights of ours.
  6. Any act which causes misrepresentation of us; and intentionally circulates false information regarding us.
  7. Any act which hampers or hinders the operation or provision of Services by us or other users' use of the Service.
  8. Other act which is deemed by us to be inappropriate.

 

Availability, Errors and Inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Contests, Sweepstakes and Promotions

Any contests, sweepstakes or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

Our Service may contain links to third-party web sites or services that are not owned or controlled by us.

We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend your access immediately, without prior notice, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination of the Service, your right to use the Service will immediately cease.

Limitation Of Liability

In no event shall we, nor our directors, employees, partners, agents, suppliers, subsidiaries or affiliated companies, (“our affiliates”) be liable for indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses with respect to our contractual default or act of tort to our or our affiliates’ negligence (except for gross negligence). Further, in no event shall our and our affiliates’ total liability to you for ordinary damages caused by our contractual default or act of tort due to our or our affiliates’ negligence (except for gross negligence) exceed the total amount of fees paid to us by you for the Service.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

We and our subsidiaries, affiliated companies, and licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements. Further, we do not warrant that data created by you in accessing to or using the Service will not be lost under any circumstances.

Governing Law and jurisdiction

These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. You expressly agree that any dispute arising from or in connection with these Terms and/or your use or access of the Service shall be brought to the exclusive jurisdiction of the Tokyo District Court for the first instance.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between us and you regarding our Service, and supersede and replace any prior agreements we might have between us and you regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop accessing or using the Service.
